By accessing or using Edula (the ‘Service’), you (‘User’) agree to be bound by these Terms of Use (‘Terms’). If you do not agree to these Terms, you must not use the Service. Acoda Group Pty Ltd (‘we,’ ‘our,’ or ‘us’), trading as Edula, reserves the right to update these Terms at any time.
Continued use of the Service after changes are posted constitutes acceptance of the new Terms.

Edula is a cloud-based platform designed for course creators. It helps users easily create and storyboard course content, which can be shared for feedback or further developed in other systems, like an LMS or an authoring tool. The features available depend on your subscription plan: Standard, Pro, or Enterprise.
All plans include access to Edula’s core features.The Pro plan gives you access to Eddy, our AI-powered content (limited to 250,000 Character Output) and image generator (limited to 50 images), while the Enterprise plan offers unlimited AI-powered content and image generation, along with text-to-speech generation (limited to 200,000 Character Input).
All payments are securely processed through Stripe monthly or annually based on your selected plan.
Edula collects only necessary personal information—your first name, last name, and email address—to support your platform use. This data is securely stored on Google Firebase servers located in Australia. Access to your information is restricted to authorised Edula employees, and it will never be shared with third parties without your explicit written consent.

All intellectual property rights related to the Edula platform, including but not limited to its design, layout, software, AI tools, algorithms, features, and any underlying technology, are the exclusive property of Acoda Group Pty Ltd, trading as Edula. This includes any updates, enhancements, or modifications to the platform protected under intellectual property laws.
While users retain full ownership of the content they create or upload to the Edula platform, Edula does not claim any ownership over user-generated content. However, by using Edula, you grant us a non-exclusive, royalty-free license to use, host, store, and display your content as necessary for the operation and improvement of the platform.

You are solely responsible for ensuring that any content you upload, create, or share on Edula complies with all applicable local, state, national, and international laws, including intellectual property and data protection laws. Edula is not responsible for user-generated content or any consequences arising from the unlawful or unauthorised use of such content.
From time to time, Edula may offer beta or experimental features. These features are provided ‘as-is’ and may contain bugs, errors, or other issues. By choosing to use beta features, you acknowledge that they are still in development and agree to hold Edula harmless for any issues arising from their use. Edula reserves the right to modify or discontinue beta features at any time without notice.
Edula regularly posts Release Notes and other updates on our help guide site before implementing platform changes. We strive to inform our users about new features, modifications, and any significant updates that may impact usage. By continuing to use Edula after these updates, you agree to the changes as posted in the Release Notes.
Upon account termination, Edula will retain your data for a period of 30 days. You are responsible for retrieving any content or data from the platform before your account is terminated. After 30 days, all data associated with your account will be permanently deleted and cannot be recovered. Edula bears no responsibility for data loss due to account termination or non-retrieval within this timeframe.
Edula complies with applicable export control and sanctions laws. By using the platform, you represent that you are not restricted under any embargo or sanctioned country list and agree not to use, access, or export any part of Edula’s services in violation of these laws. If you access Edula from outside Australia, it is your responsibility to ensure compliance with all applicable export regulations.
Edula’s AI features, including content and image generation, are powered by trained algorithms. The accuracy and quality of AI-generated content are not guaranteed, and results may vary. By using these features, you acknowledge that Edula is not responsible for the accuracy, appropriateness, or completeness of AI-generated content. You are encouraged to verify and review AI-generated content for relevance and compliance with any applicable regulations or guidelines.
Edula provides its platform as-is, without any guarantees. While we strive for smooth operation, we cannot promise the platform will meet all user needs or be available without interruptions. To the extent allowed by law, Edula is not liable for any data loss, service interruptions, or damages from using the platform or any third-party integrations.
Subscription Liability: Edula’s liability is limited to the value of your current subscription period.
No Indirect Liability: Edula is not liable for indirect damages, including lost profits, business interruptions, or data loss. By using Edula, you accept these terms.
Edula relies on third-party infrastructure, like Google Firebase, for service delivery. We do not control their performance and cannot be liable for issues on their end. This includes third-party integrations, where service interruptions or performance issues should be addressed with the provider.
You agree to indemnify and hold Edula, including its officers, directors, employees, and agents, harmless from any claims, losses, liabilities, damages, expenses, or costs (including legal fees) resulting from:
We strive for platform uptime, but service may be interrupted for maintenance, server issues, or internet disruptions. Users are responsible for data backups. Edula is not liable for data loss or access issues, especially those stemming from security breaches or credential mismanagement.
You are responsible for ensuring your platform use complies with local, state, national, and international laws, including privacy and data protection regulations. Edula is not liable for any legal violations resulting from your use.
Edula reserves the right to modify, update, or discontinue the Platform or these Terms at any time. Changes take effect upon posting to our website, and continued use of the platform constitutes acceptance of the updated Terms.
Mediation: If a dispute arises, both parties agree to try resolving it through mediation before pursuing court action. The cost of mediation will be shared equally, and the process will take place in Queensland unless both parties agree on a different location.
Exceptions: Mediation is not required for urgent legal action or disputes solely related to unpaid fees.
These Terms are governed by Queensland, Australia laws, and disputes will be handled by Queensland courts.
Edula is not responsible for service interruptions due to events outside of our control, like natural disasters or server failures.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
These Terms, along with our Privacy Policy, represent the entire agreement between you and Edula, replacing any previous agreements related to platform use.
